Corporations

We are experienced counseling our clients in most corporate matters, from formation and start-up to  share issuance, operations and corporate formalities.  Compliance with corporate formalities is essential to avoid alter ego liability to creditors, ensure smooth running operations, and navigate the rights, duties and relationship among shareholders, directors, officers and other employees. Corporate formalities include complete and up to date articles, bylaws, minutes of meetings, share registers and secretary of state filings.  We often coordinate the choice of entity decision with the client’s CPA or other tax professional to understand and consider the important tax consequences of the structure for our clients.

Partnerships

Often times the best structure for an organization is a general partnership or a limited partnership.  We are experienced drafting partnership agreements and counseling our partnership clients from formation and start up to operations.  Relying on a handshake rather than a properly drafted partnership agreement is a mistake in most cases.  We often coordinate the choice of entity decision with the client’s CPA or other tax professional to understand and consider the important tax consequences of the structure for our clients.

Limited Liability Companies

Often times a Limited Liability Company is the entity of choice for holding interests on real property or running a business. An LLC usually provides the limited liability of a corporation with the tax attributes of a partnership.  We are experienced forming LLC’s and counseling our clients from formation and start up to operations.  LLC’s may be manager- managed or member-managed and may have only one member or many members.   We often coordinate the choice of entity decision with the client’s CPA or other tax professional to understand and consider the important tax consequences of the structure for our clients.

Employment Agreements

The employer-employee relationship is the lifeblood of most businesses.  Often times an employment agreement and with related non-disclosure and trade secrets provisions is desired by both the employer and the employee, particularly in start up and technology related businesses.  We represent both employers and employers in negotiating and drafting employment agreements and related non-disclosure and trade secret terms and conditions.

Buy-Sell Agreements

Any time there is a corporation, partnership or LLC with multiple owners, a Buy-Sell Agreement (also sometimes known as a Stock Restriction Agreement) is a must.  A Buy Sell Agreement governs the rights a duties of the parties in the event of the death, disability, divorce or termination of employment of a shareholder, partner or LLC member.  Failing to have a properly drafted Buy-Sell Agreement can  result in  disaster for the business. We are experienced drafting Buy-Sell Agreements and counseling our clients through the various terms and conditions.

Trademark/Tradename/Patents

Meera Parikh is a member of the Patent Bar and has qualified to handle most trademark and  trade name matters and many patent matters.  You do not need to retain a large law firm to handle  these matters, we can handle them.

Dissolution

We are experienced at handling corporate dissolutions for both defunct corporations and going concern corporations that are in the process of winding up and dissolving, including counseling the board of directors through the dissolution process, administering creditors claims and liquidating corporate assets.
